The Jameson Special Situations Fund 2 (the ‘Fund’) is to provide attractive risk-adjusted returns to investors by opportunistically investing in direct and indirect Australian real estate experiencing distress associated with current conditions.

 

Returns will typically comprise a fixed base return plus upside. The investment objectives of the Fund are:

  1. To provide Unitholders with an opportunity to participate in a diversified portfolio of Stretch Senior, Mezzanine Debt, Preferred Equity and Structured Hybrid-Debt investments within the Australian real estate sector; and
  2. Target an AUD Equity IRR to the fund of 13%1,2, net of Australian taxes and Fund level fees and Fund Expenses.

Opportunities will centre around two key themes:

  1. The Inability to Access Credit, where traditional bank lenders have reduced their willingness to lend and nonbank lenders face an uncertain future, and
  2. Asset Mispricing, where a lack of credit has a close relationship with assets being sold during a market downturn to generate liquidity.

The Fund will seek to differentiate itself in situations that are time-sensitive, complex, or in out-of-favour sectors with strong long-term fundamentals, where it can provide solutions to stakeholders who prefer to transact with a decisive and agile counterparty that can offer certainty of execution.

 

The Fund intends to accomplish its investment objectives by implementing the following key investment strategies:

 

Real Estate Developers funding shortfall

Provision of Secured Debt, Structured Hybrid-Debt (typically including warrants a share of project profits) or Preferred Equity, with a focus on downside protection, to real estate developers that have a funding shortfall from a reduction in the availability of senior debt.

 

Acquisitions in growth sectors

Direct investment (both Structured Hybrid-Debt and/or Preferred Equity) in growth sectors anticipated to outperform in the medium term and that have benefitted from the recent market volatility.

 

Acquisitions from distressed vendors

Acquisition funding (both Structured Hybrid-Debt and/or Preferred Equity) for direct real estate being sold at a discount by vendors that are experiencing distress as a result of recent market volatility in sectors with good long term fundamentals  indicating medium term price recovery.

 

Discounted loan books 

Acquisition of discounted loan books from smaller non-bank lenders and mortgage funds who are either unable to manage their positions or who are facing redemption requests from investors.

 

Unlisted RE Trusts with a funding shortfall

Bridge funding via the provision of Structured Hybrid-Debt (typically including the ability to convert debt to equity) to unlisted real estate trusts and syndicates to meet redemption requests from investors and to reduce bank debt where ICR and LVR covenants need curing.

Nick is a director of Jameson and is a Responsible Manager under its AFSL. He is an experienced property and funds management professional across multiple jurisdictions including; Australia, Hong Kong, and China. Nick is responsible for deal origination, property development, transaction management, capital raising and offshore investor relations.

 

Prior to Jameson, Nick spent 8 years at Macquarie Bank where he was Vice President in Hong Kong and focused on the management of two portfolios of retail malls throughout China and the establishment of a logistics fund focused on Greater China. He has previously managed opportunistic funds in Australia with assets under management in excess of US$800 million (end value) and managed senior debt, mezzanine debt, and structured financial products specific to real estate.

 

Nick also previously worked for Lend Lease Development and Knight Frank Real Estate and lectures at the University of Melbourne in the Masters of Property and Construction degree.

 

Jonathan has a proven track record in the financial services industry with a particular focus on alternative investments including; real estate, agriculture, hedge funds, renewable energy and capital-protected lending. Jonathan is responsible for operations, governance, capital raising and investor relations in Australia. He is a director of Jameson.

 

Prior to Jameson, Jonathan spent 8 years at Macquarie Bank where he was appointed an Associate Director building wholesale, family office and institutional investor relationships. He has managed over A$3 billion in Australian and New Zealand relationship capital and raised over A$400 million in new equity for a variety of investment strategies.

 

Jonathan also previously worked in corporate finance at UBS Investment Bank and was National Manager at Netwealth Investments Ltd. He is a member of FINSIA.

Matthew Afflitto is a Distribution Director at Jameson TTB – an independent asset management firm specialising in alternative assets with a focus on Australian real estate, private equity and private credit.

 

With more than 16 years of experience in the financial services and investment management sectors in Australia, Matthew is a forward-thinking investment specialist with broad knowledge across private and public markets and across asset classes, including equities, fixed income and listed and unlisted investments.

 

Matthew has held roles across firms including Walker Wayland Advantage, PKF and JBWere and is an avid private investor. Before joining Jameson TTB, he was at Australian Unity Wealth where he raised more than $300 million in new capital against the backdrop of the COVID-19 global pandemic. This represented a 60%+ growth in fund size in less than three years.

 

Prior to that, he was involved in more than 100 listed equity and debt transactions at JBWere, raising in excess of $1 billion in capital. This included high-profile initial public offerings such as Medibank Private and L1 Long Short Fund, Australia’s largest Listed Investment Company capital raise of $1.33 billion.

 

Matthew has accounting qualifications from RMIT University, where he graduated with a Bachelor of Business (Professional Accountancy) with Distinction, is a member of CPA Australia, and is RG146 accredited.

 

Outside of the investment sector, Matthew enjoys a range of sports, from AFL and soccer to Formula 1 and cricket. A regular blood and plasma donor, he also gives back to the community as a volunteer soccer referee and in his role as club secretary of his local Meadow Park Soccer Club.

 

Peter Chapman is a Director at the Australian alternative asset management firm, Jameson TTB. During his career, Peter has worked for global institutional investors focused on Commercial and Industrial real estate. Based in Hong Kong, he now focuses on origination and capital raising for real estate private equity opportunities for onshore and offshore institutional investors, family offices and high-net-worth individuals.

 

Peter’s education had a strong focus on real estate and includes a Master of Science (Real Estate Investment, Finance and Development) from the prestigious European Business School Oestrich-Winkel. This combines with an extensive resume in property management and real estate investment with Melbourne-based companies including Knight Frank, Goodman Group and AMP Capital, plus London real estate private equity firm Peakside Capital.

 

Working in London with the highly respected Cambridge Judge Business School piqued Peter’s interest in startup ventures, leading him to return to Australia to found a technology-based startup in the tertiary education sector, Ediply. He then became Head of Strategy for another venture-funded startup, retail property product Booodl. In his most recent role as a consultant to Sydney-based Assetline Capital, Peter helped grow its loan book from $70 million to more than $350 million and built a market-leading digital investor management platform.

 

Mark Ferguson is a Director at the Australian alternative asset management firm, Jameson TTB. He is responsible for driving business development, capital raising and investor relations with a focus on family office and institutional investors across Asia.

 

Mark’s diverse history in real estate encompasses purchase-and-develop projects with a small family firm in his native Scotland, before joining a Hong Kong-based global real estate brokerage, IP Global, in 2007 to work in sales. Transitioning in 2017 to the company’s real estate private equity platform, IP Investment Management, he helped build an investor relations department and drove capital-raising activity, including US$150 million in equity to fund real estate projects with a US$500 million value in the US and UK. Mark is also the founder and organiser of the Cambodia Run, an annual charity run from Phnom Penh to Siem Reap that raised US$200,000 in its most recent running, in 2019. He also maintains a private portfolio of real estate investments in Hong Kong and the UK.

 

During his career, Mark has placed over US$1 billion of capital into global direct real estate assets focused on alternative strategies including student accommodation, residential multi-family and logistics. Mark has spent over 15 years in Asia and played cricket professionally for Hong Kong in the 2015 World Cup qualifiers.

 

Philippa Davies is the Chief Operating Officer at Jameson, an independent asset management firm, which specialises in alternative assets with a focus on Australian Real Estate, Private Equity and Private Credit.

 

A finance and private equity specialist, her career began as an auditor with KPMG Australia before she became Associate Director for the Private Equity Group Transaction Services at KPMG UK, and then Director for the Deal Strategy and Value Creation team, enabling her to leverage her due diligence expertise to help clients identify and diligence their investment hypothesis.

 

As Chief of Staff at Terra Firma Capital Partners, a UK-based, Europe-facing fund, Philippa acquired firsthand insight into operating a private equity firm, including the day-to-day performance of the firm and the ongoing strategic and operational changes within the portfolio businesses, including the sale and acquisition of a portfolio business.

 

Now as Jameson's COO, she oversees the finance function, including compliance management and investor reporting, as well as liaising with investors and the Jameson board of directors.

 

Outside of the finance world, Philippa enjoys running and skiing.

 

Rupert Blunden is the Investment Director at Jameson, an independent asset management firm, which specialises in alternative assets with a focus on Australian Real Estate, Private Equity and Private Credit. Educated in business and finance, with a Master of Applied Finance majoring in Corporate Finance, he started his career as an analyst with the Westpac Group, where he built a knowledge of real estate analysis, construction and investment property finance, portfolio management, and senior debt structuring and transaction management.

 

Moving to investment firm Wingate in 2016, Rupert took a role as Financier – Private Debt and Equity, leading deal teams in the delivery of investments, from due diligence and deal assessment to negotiation and investment repayment, across a portfolio encompassing the entire property capital stack and all major real estate asset classes.

 

At Jameson, Rupert is responsible for originating, structuring and executing real estate investments across a capital stack as well as strengthening relationships with key clients and expanding its offering of high-quality investment opportunities.

 

Myles has significant experience across real estate debt structures and private equity in both Australia and South Africa. Prior to joining Jameson, Myles spent five years with an investment bank focused on structured finance and debt instruments. He is highly skilled in financial modelling and structuring, risk analysis, valuation and real estate law.

 

Myles is responsible for transaction analysis, modelling and structuring, investment management and ongoing investor reporting. Myles holds a Bachelor of Science (Honours) in Property Studies from the University of Cape Town, majoring in Real Estate Valuation, Finance and Management.

 

George Pavlou is an Investment Analyst at Jameson TTB, an independent asset management firm specialising in alternative assets with a focus on Australian real estate, private equity and private credit.

 

With deep experience in diverse industries across his decade-long career, George has a proven track record in investment analysis and modelling, with skills in transaction due diligence, asset management and preparing investment recommendations.

 

Prior to joining Jameson TTB, George held key analyst roles at organisations including agricultural investment company goFARM Australia; global fund manager IFM Investors, specialists in debt investments, infrastructure, listed equities and private equity; and property group Vicinity Centres. At EY, he oversaw the auditing process as lead senior for notable clients including Crown Resorts and Live Nation/Ticketmaster.

 

George has a Bachelor of Commerce with a major in Accounting & Finance from the University of Melbourne and a Professional Certificate in Business Administration from Melbourne Business School. George is also a member of Chartered Accountants Australia & New Zealand.

 

Outside of the finance world, George enjoys playing golf, keeping fit and travelling. He is also a sports fan who enjoys watching AFL, NBA and soccer.

 

Charlie Buxton is Non-Executive Director at Jameson TTB, an Australian-based independent asset management firm specialising in alternative assets including private equity and private credit.

 

He is the founder and Managing Director of Cadence Property Group, a specialist and fully integrated development and investment business, focused on the commercial and industrial sectors of Australia.

 

As Managing Director for just shy of ten years, Charlie has overseen the successful completion of over $1.4 billion worth of commercial and industrial assets for a diverse range of national and international clients. He has built Cadence to become a significant player in the Australian market with a comprehensive development pipeline of over $2 billion.

 

Prior to founding Cadence, Charlie held positions at MAB Corporation and CBRE where he gathered his broad knowledge of development, acquisition and consulting practices.

 

With 15 years of professional experience, Charlie is an industry expert in end-to-end management of developments, assets and capital.
