The Oreana Protected Income Fund is designed to provide a regular income stream for medium- to long-term investors. It aims to achieve this objective by investing in a portfolio of Australian property-related Fixed Income Securities. The Fund seeks to protect investment principal and income streams by purchasing securities that include guarantees.

 

Managed by Oreana, the Fund has delivered consistent, property-backed income since 2016. Drawing on deep market experience and disciplined risk management, it offers multiple share classes denominated in Australian and US dollars, with all investments fully hedged against currency risk. The strategy focuses on financing quality Australian real estate projects, supported by rigorous due diligence and ongoing credit monitoring to safeguard investor capital. While the Fund targets stability and protection, investors should note that all investments carry risk and returns are not guaranteed.

OAM Protected Income Fund is an exempted company incorporated with limited liability in the Cayman Islands under the Companies Act. Participating Shares may be issued in different Classes.  The Directors may differentiate between Classes on various bases, including but not limited to the Operational Currency, the Term, the Target Return, the Frequency of Dividend Payments and the Closing in respect of each Class. 

Classes of Participating Shares are being offered for subscription at a fixed Subscription Price of US$1,000 per share in respect of Classes with an Operational Currency of USD and AU$1,000 per share in respect of Classes with an Operational Currency of AUD. 

Investment Objective

The Company aims to provide a regular income stream to Shareholders in each Class by investing in a portfolio of property related Fixed Income Securities issued by the Issuer in Australia.  The investment principal and income streams are protected from losses through purchasing Fixed Income Securities with a Guarantee(s), as further detailed below and in the relevant Term Sheet. 


Target Returns and the Frequency of Dividend Payments applicable to each Class are set out in the Term Sheet relating to the relevant Class.  There is no guarantee that the Target Return will be achieved or that Shareholders will receive any of the Target Return.   


An investment in the Company is intended for medium to long term investors who can accept the risks associated with investing in illiquid securities. There can be no assurance that the Company will achieve its investment objective. The possibility of partial or total loss of capital will exist, and prospective investors should not subscribe unless they can readily bear the consequences of such loss.  Please see the section headed "Risk Factors" below for further details.   


Investment strategy  

The Company intends to achieve the investment objective by purchasing Fixed Income Securities, earning the interest coupon attached to such Fixed Income Securities and receiving back its principal capital following maturity of the relevant Fixed Income Securities. 


The Fixed Income Securities  


The Company will purchase property related Fixed Income Securities that are issued by the Issuer to finance the development and investment into property-related projects including, but not limited to, residential, commercial and retail real estate in Australia.  Proceeds from issuance of the Fixed Income Securities may also be applied to making passive investments in completed assets or for construction and development purposes including during the acquisition, pre-development and construction phases.   


The Investment Manager will negotiate with the Issuer in respect of terms attached to the Fixed Income Securities to deliver on the Company’s objectives and manage credit risks, particularly with respect to the terms of offer attached to each Class.  The Investment Manager will be responsible for matching the terms of the relevant Fixed Income Security(ies) within the terms attaching to certain Classes on offer, for example, with respect to maturity and re-payment rates.  To do so, the Investment Manager will carry out due diligence on the terms attached to the relevant Fixed Income Security prior to purchase by the Company, which will include, but is not limited to, looking at the conditions attached to the Fixed Income Security, including proposed application of the proceeds by the Issuer and diversification, the counterparty risk associated with the Fixed Income Securities and the Issuer’s capacity to deliver on property related projects, the complexity of the projects, the experience of the project delivery team and the creditworthiness of the counterparty.  

Once the Investment Manager is comfortable that the terms of the relevant Fixed Income Securities are appropriate in respect of a certain Class, with particular focus on the terms attaching to that Class, the Company will acquire the relevant Fixed Income Securities from the Issuer.  During the life of the Fixed Income Security purchased by the Company in respect of the relevant Class until maturity, the Investment Manager will continuously monitor the creditworthiness of the Issuer and act as appropriate to manage these risks.

The Company will hold a mix of Fixed Interest Securities with differing interest re-payment rates, terms and denominations, with each Fixed Interest Security purchased by the Company being allocated to a Class.  In respect of Classes with an Operational Currency of USD, the Company will acquire Fixed Income Securities denominated in USD.  In respect of Classes with an Operational Currency of AUD, the Company will acquire Fixed Income Securities denominated in AUD.  This means that the Fixed Income Securities are fully hedged against potential currency losses as lending is executed in the Operational Currency of the relevant Class.  The Company is not required to manage currency risks. It is possible that the Company will acquire Fixed Income Securities issued by different Issuers.  The current intention is that each Issuer will be an Affiliate of the Investment Manager.
